By accessing or using TalkPadi (the 'Service'), you agree to be bound by these Terms of Use ('Terms'). If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including individuals and businesses ('you' or 'your'). TalkPadi is operated by Probascent Technologies Limited ('TalkPadi', 'we', 'us', or 'our').

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

TalkPadi provides an AI-powered conversational assistant ('Padi') that helps businesses manage customer conversations across WhatsApp, website chat widgets, Telegram, and other supported messaging channels.

Our platform allows you to create, configure, and deploy AI agents trained on your business knowledge base, automate responses, capture leads, and hand off conversations to human agents as needed.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice, though we will make reasonable efforts to communicate significant changes in advance.

To access most features of TalkPadi, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at support@talkpadi.com if you suspect any unauthorized use of your account.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.

TalkPadi offers subscription plans with varying features and usage limits. Details of each plan, including pricing and features, are available on our Pricing page. Prices are subject to change with 30 days' notice.

All subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for the applicable subscription fees on a recurring basis until you cancel.

If a payment fails, we may suspend your access to the Service until outstanding amounts are settled. You may cancel your subscription at any time; cancellations take effect at the end of the current billing period, and no refunds are issued for partial periods unless required by law.

You agree to use TalkPadi only for lawful purposes and in accordance with these Terms. You must not use the Service to send spam, unsolicited messages, or engage in any form of deceptive marketing.

You must not use TalkPadi to impersonate any person or entity, misrepresent your identity or affiliation, or otherwise mislead your customers or contacts in a manner that could cause harm.

You must not attempt to reverse-engineer, decompile, scrape, or otherwise extract the underlying algorithms or models that power TalkPadi, nor use the Service to build a competing product or service.

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice, depending on the severity of the violation.

You retain ownership of all content you upload, submit, or transmit through TalkPadi, including knowledge base documents, business information, message templates, and conversation data ('Your Content').

By using the Service, you grant TalkPadi a limited, non-exclusive, royalty-free license to access, process, and use Your Content solely to provide and improve the Service for you.

You are solely responsible for ensuring Your Content does not infringe any third-party intellectual property rights, violate any applicable law, or contain any harmful, offensive, or illegal material.

The AI responses generated by your Padi are based on the knowledge base and configuration you provide. TalkPadi does not guarantee the accuracy, completeness, or suitability of any AI-generated content.

You are responsible for reviewing, supervising, and validating the behavior of your Padi. You should establish appropriate human handoff protocols for sensitive customer interactions.

TalkPadi shall not be liable for any loss, damage, or harm arising from AI-generated responses that are inaccurate, misleading, or otherwise unsuitable for your customers.

TalkPadi integrates with third-party platforms including WhatsApp (Meta), Telegram, and others. Your use of these platforms is also governed by their respective terms of service and policies.

We are not responsible for the availability, reliability, or policies of third-party services. Any disruption to a third-party platform may affect your use of related TalkPadi features.

When you connect a third-party channel, you represent that you have the necessary rights and authorizations to do so, including compliance with the channel provider's business policies.

TalkPadi and all related technology, software, designs, logos, and content (excluding Your Content) are the exclusive property of Probascent Technologies Limited and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.

Nothing in these Terms transfers any intellectual property rights to you. You must not use our name, logo, or branding without our prior written consent.

Your use of TalkPadi is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees regarding uptime or response times beyond what is expressly stated in a separate Service Level Agreement.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TALKPADI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless TalkPadi and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

You may terminate your account at any time by contacting us at support@talkpadi.com or through the account settings in your dashboard.

We may suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these Terms or that continued access poses a risk to other users, third parties, or TalkPadi.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the competent courts of Lagos State, Nigeria.
